1. Licensee and Package
This Enterprise Package License is between RightNow AI, Inc. ("RunInfra") and the legal entity identified as the licensee in the signature record ("Licensee"). It applies to the RunInfra serving package identified on the purchase screen and in that record ("Package").
2. Grant
RunInfra grants the Licensee a non-exclusive, non-transferable, perpetual license, unless terminated for breach under clause 8, to deploy and operate the Package in the Licensee's own products and services, including serving the Licensee's own end users. This grant is subject to the restrictions below and the Licensee's continued compliance with this license.
3. No Redistribution or Publication
The Licensee may not redistribute, resell, sublicense, rent, publish, or otherwise make the Package or its artifacts available to any third party. Specifically, the Licensee may not redistribute, publish, mirror, or open-source the Package or any part of it. This covers the optimized weights, serving configuration, scripts, kit archive, benchmark receipts, and other Package artifacts, whole or in part, modified or not, to the extent included in the Package.
4. No Resale or Transfer
The Licensee may not resell, sublicense, rent, lease, assign, or transfer the Package or this license.
5. No Delivery of Package Contents to Third Parties
The Licensee may not provide the Package itself or any Package contents to a third party, including through a hosted or managed service in which the third party receives or can access Package contents. Serving the Licensee's own end users through the Licensee's product or service without exposing Package contents is permitted under clause 2.
6. License, Attribution, Notice, and Receipt Files
The Licensee may not remove, obscure, or alter any license, attribution, notice, or receipt file included in or associated with the Package.
7. Upstream Model Terms
This license covers only RunInfra's serving Package. It does not grant any right to the underlying model weights, and it does not waive, replace, limit, or override any term of the upstream model license. The Licensee must independently review and comply with the upstream model license, including any use, distribution, attribution, Model-as-a-Service, or revenue threshold term that applies to the Licensee.
8. Responsibility and Breach
The Licensee is responsible for every act or omission of its personnel and affiliates involving the Package, but this responsibility does not grant an affiliate a license. If the Licensee, its personnel, or its affiliates breaches this license, RunInfra may terminate this license immediately by written notice, suspend access to the Package and future downloads, require the Licensee to stop using the Package and permanently delete all copies in its possession or control, and pursue any other remedy available under applicable law.
9. Signature Evidence
RunInfra retains the signature record as evidence of this contract. The record contains the Package identifier and version, the Licensee's company legal name, signer full name, signer email, typed signature string, IP address, user agent, signature timestamp, this license version, and the SHA-256 hash of the exact license text accepted. RunInfra retains this contract evidence for the life of this license plus any applicable limitation period.
